{"id":25,"date":"2012-06-26T22:03:37","date_gmt":"2012-06-26T21:03:37","guid":{"rendered":"http:\/\/mikebirdblog.wordpress.com\/?p=25"},"modified":"2024-04-16T14:54:01","modified_gmt":"2024-04-16T13:54:01","slug":"watering-down-shareholder-control-of-executive-director-pay","status":"publish","type":"post","link":"https:\/\/mikebird.me\/?p=25","title":{"rendered":"Watering down shareholder control of executive director pay"},"content":{"rendered":"<p><strong>Vince Cable, the Business Secretary, announced last week that proposals in March 2012 to give shareholders more say on executive director pay in listed companies are to be watered down.<\/strong><\/p>\n<p>At that time, the proposals were thought to be \u201cvirtually certain to take effect\u201d after 1 October 2013,\u00a0and would have a significant impact on executive director remuneration.<\/p>\n<p>But key points on \u201cthese [<em>now less<\/em>] radical proposals\u201d are:<\/p>\n<ol>\n<li>A binding annual vote on future remuneration policy <span style=\"text-decoration:underline;\">will now be every three years<\/span><\/li>\n<li>Increasing the threshold of support required to approve future remuneration policy was originally to be as high as 75%, but <span style=\"text-decoration:underline;\">now a simple majority<\/span><\/li>\n<li>Advisory annual vote on how remuneration policy has been implemented will be retained<\/li>\n<li>Originally there would be a binding vote on termination packages \u2013 now no requirement at the time of departure to obtain specific shareholder approval of payments to directors in excess of one times salary<\/li>\n<\/ol>\n<p>The Government has bowed to pressure from companies, who want to be able to do what they like.
